  • Handling of User Content: We will handle User Content, including processing, storage, and deletion practices, in accordance with our Privacy Policy and relevant project agreements. We are not responsible for the accuracy, quality, integrity, or legality of your User Content.

  • Ownership and License: You retain all intellectual property ownership of your User Content. By submitting User Content, you grant your company a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and process the User Content solely for the purpose of providing the agreed-upon Services.

5. Intellectual Property Rights

All intellectual property rights in and to the website, the image processing and computer vision solutions (including algorithms, software, underlying technology, and all other content on the site) belong exclusively to your company or its licensors.

  • Limited License: A limited, non-exclusive, non-transferable license is granted to users solely for accessing and using the Services as intended.

  • Prohibitions: You are prohibited from unauthorized copying, reproduction, modification, distribution, or exploitation of the website content and solutions.

  • Ownership of Customer Content: The Customer retains sole and exclusive ownership of their content (images and data provided). Your Company does not claim ownership over User Content. Any processed images or derivative works created specifically for the customer and paid for in full by the customer shall be owned by the customer, subject to the licenses granted to your company in Section 4 for the purpose of providing the Services.

  • Prohibition on AI/Biometric Use: Processed images or data provided to the Customer may not be used for the development of any artificial intelligence, machine learning, or biometric recognition technologies, systems, or datasets without the prior explicit written consent of your company.

6. Acceptable Use Policy and User Restrictions

You agree not to use the website or Services for any unlawful or prohibited activities. Prohibited actions include, but are not limited to: scraping data, unauthorized copying, reverse engineering, creating derivative products from our algorithms, or using the solutions for illegal or harmful purposes. Violations of this policy may result in immediate account suspension or termination and potential legal action.

7. Privacy Policy

The Customer further warrants that their User Content and intended use does not infringe upon the intellectual property, privacy, or other rights of any third party, nor is it illegal, harmful, or defamatory.

  • No Warranty: The website and services are provided "as is" without any warranties, express or implied, including fitness for a particular purpose or non-infringement.

  • Limitation of Liability: In no event shall your company be liable for any damages, including direct, indirect, incidental, or consequential damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the website or Services, even if your company has been notified orally or in writing of the possibility of such damage.

  • Third-Party Claims: Your Company disclaims all liability for any claims brought by a third party alleging that the User Content or the Customer's use of the Services infringes the third party's rights or violates applicable law.

10. Indemnification

You agree to indemnify and hold your company, its officers, directors, employees, and agents harmless from any claims, losses, or expenses (including attorneys' fees) arising from your use of the website or Services, your User Content, or any breach of these Terms.

11. Term and Termination

This agreement shall remain in effect until terminated by either party. We reserve the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
